1. Introduction

1.1. These Terms and Conditions (“Terms”) govern the legal relationship between Reshanti Limited (“Reshanti”, “we”, “us”, “our”) and any individual who accesses or uses our online platform (“Platform”), including yoga teachers (“Teachers”) and students receiving yoga sessions (“Students”).

1.2. By creating an account on the Platform or by otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, as well as our Privacy Policy, which forms an integral part of these Terms.

1.3. The Platform is intended exclusively for individuals who are at least eighteen (18) years of age. By accessing or using the Platform, you represent and warrant that you meet this age requirement and possess the legal capacity to enter into a binding agreement.


2. Nature of the Service

2.1. Reshanti operates a digital platform that enables Students to schedule and participate in live, online, one-to-one yoga sessions conducted by independent Teachers.

2.2. Teachers are strictly independent contractors. Nothing in these Terms shall be interpreted as creating an employment relationship, partnership, joint venture, agency relationship, or fiduciary relationship between Reshanti and any Teacher. Teachers independently determine the manner and method of providing their yoga instruction.

2.3. Reshanti does not supervise, monitor, or record the live sessions delivered by Teachers. We do not guarantee, endorse, or assume any liability for the actions, conduct, skill, or qualifications of Teachers or Students.


3. Account Registration and Identity Verification

3.1. Students must provide accurate personal information, including their full legal name and a valid email address, in order to create an account.

3.2. Teachers, in addition to providing a valid name and email address, are required to undergo identity verification through Stripe Identity, which involves the submission of an identification document and a selfie directly to Stripe. Reshanti does not receive or store copies of such documents; we only receive Stripe’s verification outcome indicating whether the identity check has been successfully completed.

3.3. Teachers may upload profile photographs and introductory videos to the Platform. These materials may only be used by Reshanti for marketing purposes if the Teacher has explicitly provided affirmative opt-in consent. Withdrawal of consent may be exercised at any time, though it does not apply retroactively to marketing materials previously published while consent was in place.

3.4. Users are fully responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their accounts. Users must notify Reshanti without undue delay if they suspect any unauthorised use of their account.


4. Booking of Sessions

4.1. Students may book individual one-off sessions (“Casual Sessions”) or enrol in a set of four (4) weekly sessions with a fixed schedule (“Commitment Plan”).

4.2. Each session lasts fifty (50) minutes, unless otherwise specified.

4.3. Booking acceptance is subject to Teacher availability.

4.4. Casual Sessions
A Casual Session is booked individually. The Student’s chosen payment method is authorised (payment is reserved) at the time of the booking request. The authorised amount is captured and actually deducted only if the Teacher accepts the booking within twenty-four (24) hours of the request. If the Teacher rejects the request, or does not respond within this timeframe, the booking shall be deemed rejected and the authorisation shall lapse without any charge being captured. Any stored payment method is stored and processed solely by the relevant third-party payment processor and not by Reshanti.

4.5. Commitment Plans
A Commitment Plan consists of four (4) weekly sessions held on the same day and at the same time each week over a four-week cycle. The schedule for all four sessions is fixed at the time the Commitment Plan is purchased and cannot be altered or rescheduled through the Platform.

4.6. The Commitment Plan is purchased as a single package and paid for upfront for each four-week cycle. For the purposes of cancellations, refunds, no-shows, and Teacher penalties, each of the four sessions within a Commitment Plan is treated as an individual booking, and the rules set out in Sections 5, 6 and 7 apply equally to such sessions.

4.7. Commitment Plan Auto-Renewal
At the conclusion of each four-week cycle (namely, after the final scheduled session in that cycle has taken place or is deemed to have taken place), a new four-week Commitment Plan shall begin automatically and the corresponding fee shall be charged, unless the Student cancels the Commitment Plan prior to renewal in accordance with these Terms. Once a new cycle has commenced, the Student will again have four (4) scheduled sessions on the same weekly day and time, subject to cancellation and refund rules as described in Section 6.

4.8. Commitment Plans do not include any right to reschedule sessions to different days or times. If a Student cannot attend a scheduled session within a Commitment Plan, the session may be cancelled and refunded only where the cancellation is made more than twelve (12) hours before the scheduled start time, in which case the relevant proportion of the package fee shall be refunded. If the Student cancels less than twelve (12) hours before the scheduled start time, or fails to attend, the session shall be forfeited and no refund shall be due.

4.9. A Student may cancel an entire Commitment Plan at any time before the end of a four-week cycle. In such a case, all future sessions within that cycle that are scheduled to start more than twelve (12) hours after the time of cancellation shall be refunded on a pro-rata basis. Any session falling within twelve (12) hours of its scheduled start at the time of cancellation shall be treated as a late cancellation and shall not be refunded. Cancellation of a Commitment Plan prevents its automatic renewal.

4.10. If a Teacher becomes unavailable or is suspended, terminated, or otherwise unable to deliver one or more remaining sessions within a Commitment Plan (whether due to repeated no-shows, misconduct, or other reasons), Reshanti shall cancel the remaining sessions of that cycle and refund the Student on a pro-rata basis for all such remaining sessions that have not yet occurred. In that case, the Commitment Plan shall cease and shall not auto-renew.


5. Definitions Relating to Booking Timeframes

5.1. A “Standard Booking” refers to any session booked more than twenty-four (24) hours prior to its scheduled start time.

5.2. A “Short-Notice Booking” refers to any session booked within twenty-four (24) hours of the scheduled start time, provided that the Teacher has expressly enabled the option to accept short-notice bookings in their profile settings.


6. Cancellations and Refunds

6.1 Cancellations Relating to Standard Bookings

6.1.1 Student Cancellations
6.1.1.1. Where a Student cancels a Standard Booking (whether a Casual Session or a session within a Commitment Plan) at least twelve (12) hours before the scheduled start time of the session, the Student shall be entitled to receive a full refund of the fee paid for that session or, in the case of a Commitment Plan, the relevant pro-rata portion of the package fee.
6.1.1.2. Where a Student cancels a Standard Booking less than twelve (12) hours before the scheduled start time, the Student shall not be entitled to any refund, and the amount paid for the session shall be forfeited in full.

6.1.2 Teacher Cancellations
6.1.2.1. Where a Teacher cancels a Standard Booking at least twelve (12) hours prior to the scheduled start time, the cancellation shall be considered timely, and no penalty shall be applied to the Teacher.
6.1.2.2. Where a Teacher cancels a Standard Booking less than twelve (12) hours prior to its scheduled start time, the Student shall receive a full refund of the session fee or corresponding pro-rata portion of a Commitment Plan fee, and the Teacher shall be deemed to have performed a late cancellation.

6.1.3 Penalties for Late Teacher Cancellations
6.1.3.1. For the first late cancellation occurring within any continuous three-month period, the Teacher shall receive a written warning without further consequence.
6.1.3.2. For the second late cancellation within such period, the Teacher’s profile shall be removed from search results for a period of seven (7) days.
6.1.3.3. For the third late cancellation within such period, the Teacher shall be removed from search results for a period of one (1) month.
6.1.3.4. For the fourth late cancellation within such period, the Teacher’s account shall be suspended for a duration of three (3) months.

6.2 Cancellations Relating to Short-Notice Bookings

6.2.1 Student Cancellations
6.2.1.1. A Student who cancels a Short-Notice Booking shall not be entitled to any refund, irrespective of the timing of the cancellation.

6.2.2 Teacher Cancellations
6.2.2.1. Where a Teacher cancels a Short-Notice Booking, the Student shall receive a full refund of the session fee or corresponding pro-rata portion of a Commitment Plan fee.

6.2.3 Penalties for Cancelling Short-Notice Bookings
6.2.3.1. A Teacher who cancels one or two Short-Notice Bookings within any continuous three-month period shall not incur any penalty.
6.2.3.2. Upon the third cancellation of a Short-Notice Booking within such period, the Teacher shall lose the ability to accept Short-Notice Bookings for a period of three (3) months, during which the short-notice feature shall be disabled in their profile.

6.3 Cancellations Within Commitment Plans

6.3.1. Each scheduled session within a Commitment Plan is subject to the same cancellation and refund rules applicable to Standard Bookings and Short-Notice Bookings, depending on when the booking took place and when the cancellation is made.

6.3.2. When a Student cancels an entire Commitment Plan, all future sessions in that four-week cycle that are scheduled to start more than twelve (12) hours after the time of cancellation shall be refunded on a pro-rata basis. Any session within twelve (12) hours of its scheduled start time at the moment of cancellation shall be treated as a late cancellation and shall not be refunded.

6.3.3. Where a Commitment Plan is terminated early because the Teacher is unavailable, suspended, or removed from the Platform, or otherwise unable to deliver the remaining sessions, Reshanti shall refund the Student for all remaining sessions in that cycle which have not yet taken place, and the Commitment Plan shall automatically cease without renewal.


7. No-Show Policies

7.1 Student No-Shows
7.1.1. If a Student fails to attend a scheduled session (whether a Casual Session or a session within a Commitment Plan) without prior cancellation, no refund shall be due, and the session fee or corresponding pro-rata portion of a Commitment Plan fee shall be forfeited.

7.2 Teacher No-Shows
7.2.1. Students are encouraged to remain in the session environment for at least five (5) minutes following the scheduled start time to allow for reasonable delays.
7.2.2. If the Teacher has not joined the session within that time and the Student reports the issue via the Platform’s reporting tool, the Student shall receive a full refund of the session fee or the corresponding pro-rata portion of a Commitment Plan fee.
7.2.3. The Teacher shall be deemed to have committed a no-show for the session.

7.3 Penalties for Teacher No-Shows
7.3.1. For the first no-show within any continuous three-month period, the Teacher’s profile shall be removed from search results for a period of seven (7) days.
7.3.2. For the second no-show within such period, the Teacher’s profile shall be removed from search results for a period of one (1) month.
7.3.3. For the third no-show within such period, the Teacher’s account shall be permanently terminated.

7.4. Where a Teacher’s account is suspended or terminated due to no-shows or other reasons during an active Commitment Plan, the remaining sessions of that plan shall be treated in accordance with Clause 6.3.3.


8. Payouts to Teachers

8.1. Teachers shall receive payouts for successfully conducted sessions no later than fourteen (14) days following confirmation—by both the Student and the Teacher—that the session occurred as scheduled. This applies equally to Casual Sessions and to individual sessions delivered under a Commitment Plan.

8.2. Teachers are not entitled to receive any compensation in relation to sessions that were cancelled by Students with refund eligibility, cancelled by Teachers, refunded for any reason, or in cases where the Teacher failed to appear for the session. This applies to both Casual Sessions and Commitment Plan sessions, including any pro-rata refunds made for cancelled or undelivered sessions within a Commitment Plan.

8.3. All payouts are processed through third-party payment processors. Reshanti does not store any credit card information.


9. Commission Structure

9.1. Reshanti applies a commission to each completed session based on the Teacher’s cumulative number of successfully conducted sessions on the Platform.

9.2. The commission shall be nineteen percent (19%) for the first twenty (20) completed sessions, seventeen percent (17%) for sessions twenty-one (21) through sixty (60), and fifteen percent (15%) for all sessions thereafter.

9.3. Reshanti reserves the right to offer promotional commission rates from time to time. In such cases, the promotional terms shall prevail for the stated duration.


10. Teacher Responsibilities

10.1. Teachers undertake to conduct all sessions in a professional, respectful, and lawful manner. They must ensure that their conduct, communication style, teaching methods, and behaviour are consistent with the standards reasonably expected of qualified yoga instructors operating in an online, one-to-one environment.

10.2. Teachers acknowledge and accept that they must begin every session punctually at the scheduled commencement time and remain available for the entire duration unless prevented by circumstances genuinely outside their control.

10.3. Teachers shall be solely responsible for ensuring that they possess adequate technical equipment and a stable internet connection in order to deliver uninterrupted live instruction. Any failure arising from inadequate equipment or connectivity shall be treated as a failure on the part of the Teacher to fulfil their session obligations.

10.4. Teachers shall not provide any form of medical, therapeutic, or physiotherapeutic advice, nor may they diagnose injuries or prescribe physical treatments. Any guidance offered must be limited strictly to general yoga instruction within the Teacher’s area of competence.

10.5. Teachers shall not, under any circumstances, request or encourage Students to engage in communication or to arrange sessions outside the Platform, nor shall they request or accept any form of direct payment from Students. Any attempt to circumvent the Platform’s payment mechanisms constitutes a material breach of these Terms and may result in suspension or termination of the Teacher’s account.

10.6. Teachers shall not request, share, or disclose personal contact information, including but not limited to email addresses, phone numbers, social media accounts, or messaging platform identifiers.

10.7. Teachers shall ensure that their profile, including their photograph, introductory video, description, and any additional media, does not infringe intellectual property rights or display any prohibited or inappropriate content.


11. Student Responsibilities

11.1. Students are responsible for ensuring that they are physically capable of participating in yoga activities and should consult a medical professional prior to engaging in sessions if they have any doubts regarding their physical condition.

11.2. Students must join sessions punctually and are responsible for ensuring the adequacy of their own equipment and internet connection. Technical issues originating from the Student’s end shall not constitute grounds for refunds.

11.3. Students shall behave respectfully and appropriately toward Teachers at all times. Harassment, abusive language, intimidation, discrimination, sexual misconduct, or any other unreasonable behaviour is strictly prohibited.

11.4. Students shall not record, distribute, or capture any part of the session by audio, video, screen-capture, or any similar method unless explicit written consent is obtained from both Reshanti and the Teacher. Any unauthorised recording constitutes a serious breach of these Terms and may result in immediate termination of the Student’s account.

11.5. Students shall not request or attempt to arrange lessons, communication, or payments outside the Platform. Such conduct may result in account termination.


12. Misconduct Reporting and Safety-Based Measures

12.1. Reshanti does not record or monitor live sessions. Accordingly, any report of misconduct, inappropriate behaviour, harassment, discrimination, sexual misconduct, or other prohibited conduct must be submitted by a Student or Teacher through the Platform’s designated reporting mechanism or by contacting Reshanti directly.

12.2. Upon receipt of a misconduct report, Reshanti shall initiate a review by requesting statements, explanations, and any available context from both the complainant and the accused party. Reshanti does not act as a judicial authority and does not determine factual guilt or innocence; rather, it assesses whether any safety-based action is necessary to protect users and the integrity of the Platform.

12.3. In the event of a serious allegation—including but not limited to sexual harassment, explicit behaviour, threats, discrimination, or any conduct posing an immediate safety risk—Reshanti reserves the right to impose an immediate temporary suspension of the accused party’s account pending further review. Such suspension is precautionary in nature and shall not be interpreted as a determination of wrongdoing.

12.4. Where multiple reports or consistent patterns of concerning behaviour are identified, Reshanti may impose sanctions including, but not limited to, warnings, temporary removal from search results, feature restrictions, suspension, or permanent account termination.

12.5. Reshanti may take action even where independent verification of the reported conduct is not feasible, provided that such action is based on reasonable concerns, the safety of users, and the protection of the Platform. This clause is essential given that live sessions are not recorded.

12.6. False or malicious reporting constitutes a material breach of these Terms and may lead to account termination.


13. Prohibited Conduct

13.1. Users shall not engage in any activity that disrupts, damages, or interferes with the operation or security of the Platform, including attempts to hack, bypass, or reverse-engineer the Platform’s infrastructure.

13.2. Users shall not upload, transmit, or share any content or media that is obscene, defamatory, infringing, discriminatory, hateful, abusive, or otherwise unlawful.

13.3. Users shall not impersonate any other individual or misrepresent their identity or qualifications.


14. Payments

14.1. Payments for sessions must be made exclusively through the Platform using one of the supported payment processors, which may include Revolut Pay, Stripe, or other providers utilised by Reshanti from time to time.

14.2. Reshanti does not store payment card details. All such data is processed securely by third-party payment processors. Where a Student chooses to save a payment method for future use (including for Commitment Plans), such storage is managed solely by the relevant payment processor, and the saved method may appear as a default option within the Student’s account.

14.3. Prices are displayed in the currency applicable to the Student’s geographical location, as determined by reasonable technical means and/or the Student’s selection. Payouts to Teachers may be made in the currency supported by the payment processor and selected by the Teacher where applicable.

14.4. Students are responsible for ensuring that their payment method has sufficient funds to cover the cost of any session booked, whether as a Casual Session or as part of a Commitment Plan.

14.5. For Casual Sessions, the Student’s payment method is authorised at the time of the booking request and captured only if and when the Teacher accepts the booking within twenty-four (24) hours. If the booking is not accepted within that timeframe, the authorisation shall lapse and no charge shall be made.

14.6. For Commitment Plans, the fee for each four-week cycle is charged upfront at the beginning of that cycle. By enrolling in a Commitment Plan, the Student authorises Reshanti and its payment processors to charge the applicable fee at the start of each new four-week cycle, unless the Commitment Plan is cancelled beforehand in accordance with these Terms.

14.7. If the payment for a new Commitment Plan cycle cannot be processed, the Commitment Plan shall be paused and the Student shall be notified and given forty-eight (48) hours to update their payment method. During this period, the next upcoming scheduled session may still take place at Reshanti’s discretion. If the payment method is updated successfully within that period, the renewal fee for the full four-week cycle shall be captured, covering any session already delivered during the grace period. If the payment method is not updated within forty-eight (48) hours, the Commitment Plan shall be cancelled and no further sessions shall take place under that plan.

14.8. Reshanti Limited is not currently registered for VAT in Ireland due to operating below the mandatory VAT registration threshold. All prices displayed on the Platform are inclusive of any taxes applicable under current law. Should VAT registration become required in the future, VAT may be applied in accordance with applicable legislation, including any EU VAT OSS scheme, and Users will be notified before any VAT-related pricing changes take effect.


15. Health Disclaimer

15.1. Participation in yoga involves physical exertion, stretching, and movements that may pose a risk of injury. By booking or participating in any session on the Platform, Students acknowledge that they do so voluntarily and at their own risk.

15.2. Neither Reshanti nor any Teacher shall be liable for any injury, harm, or health-related consequences arising from participation in yoga sessions.

15.3. Students are solely responsible for monitoring their physical condition during sessions and must immediately cease participation if they experience discomfort, pain, or any symptoms indicating possible injury.


16. Privacy

16.1. The collection, processing, and storage of personal data by Reshanti are governed by our Privacy Policy, which complies with the General Data Protection Regulation (GDPR) and applicable Irish data protection laws.

16.2. By using the Platform, Users consent to the processing of their personal data as described in the Privacy Policy.


17. Intellectual Property

17.1. The Platform, including its design, code, trademarks, logos, text, graphics, and other proprietary materials, constitutes the intellectual property of Reshanti and is protected by applicable intellectual property laws.

17.2. Teachers retain ownership of any content they upload, including their profile photographs and introductory videos. By uploading such content, Teachers grant Reshanti a limited, non-exclusive licence to display such content within the Platform for operational purposes.

17.3. Any use of Teacher media for marketing purposes requires explicit opt-in consent from the Teacher.


18. Recording Prohibition

18.1. Users are strictly prohibited from recording, copying, reproducing, distributing, or transmitting any part of a live session in any form, unless explicit written permission has been provided by both Reshanti and the other participating party.

18.2. Any breach of this clause constitutes grounds for immediate termination of the offending user’s account.


19. Off-Platform Communication and Transactions

19.1. Users shall not exchange personal contact information or attempt to arrange communication or payments outside the Platform.

19.2. Any attempt to circumvent the Platform’s session booking or payment systems constitutes a material breach of these Terms and may result in immediate suspension or termination of the user’s account.


20. Suspension and Termination of Accounts

20.1. Reshanti reserves the right to suspend or terminate a user’s account where:
(a) the user has breached these Terms;
(b) the user poses a risk to the safety or integrity of the Platform;
(c) repeated no-shows, late cancellations, or patterns of unreliability have been identified for Teachers;
(d) there are reasonable grounds to believe that continued access may result in harm to Students, Teachers, or the Platform.

20.2. Users may request closure of their account at any time by contacting Reshanti.

20.3. Suspension or termination may occur with or without prior notice depending on the seriousness of the breach or risk identified.


21. Limitation of Liability

21.1. To the fullest extent permitted by law, Reshanti shall not be liable for:
(a) any injury, loss, or damage arising from participation in yoga sessions;
(b) the conduct or negligence of Teachers or Students;
(c) any interruption, delay, or failure caused by internet outages, device issues, or technical malfunction outside the reasonable control of Reshanti;
(d) any indirect, incidental, or consequential damages.

21.2. Nothing in these Terms shall limit liability for death or personal injury arising from negligence, or any liability that cannot be limited under applicable law.


22. Dispute Resolution

22.1. Reshanti encourages users to resolve disputes amicably through communication and mutual agreement.

22.2. Where a dispute cannot be resolved informally, it shall fall under the exclusive jurisdiction of the courts of Ireland.

22.3. Users located in the European Union may also avail of the EU Online Dispute Resolution Platform accessible at:

23. Amendments

23.1. Reshanti may amend these Terms from time to time. Users will be notified of material changes by email or through an announcement on the Platform.

23.2. Continued use of the Platform following the publication of amended Terms shall constitute acceptance of the updated Terms.
